Partnership Agreement
Thank you for choosing to work with Michael Poh Trading as Vouch (Vouch). We are excited and honoured to be part of your testimonial project! This agreement ensures everyone agrees to the services we will provide. Please contact us with any questions. We look forward to working with you soon!
1. The Client
The Client refers to the party set out in the Service document. This includes all associated parties such as employees, contractors, leadership team, ownership group, and anyone assuming a position with the client as outlined in the Service document.
2. Deliverables
All deliverables are specified in the Service document.
3. Payment Schedule / Retainer
All payment schedules and retainer information are detailed in the Service document. Payments are to be made to the following accounts using the project name as the reference:

Or as directed on the invoice
4. Contracted Services
Includes all services described in the Service document. Any additional services required by the client will be billed directly. Contracted services cannot be deducted, but other services can be added. All additional services will be communicated before invoiced.
5. Copyrights
The Client may freely use the final images and videos created by Vouch without restriction. However, all images and videos are owned and copyrighted by Vouch.
6. Destination Fees
For projects taking place beyond 30 kilometres from New Lynn, Auckland, additional fees such as petrol, airfare, hotel stays, and car rentals are applicable. Clients can make travel arrangements per Vouch’s specifications or set by Vouch with the client's agreement to cover the invoiced costs.
7. Liability
Vouch is only liable for services completed and provided by Vouch. We are not responsible for the services of other contracted vendors. In no event shall Vouch be liable for consequential damages caused by contracted services outside of Vouch.
8. Permits
The Client is responsible for acquiring all permits and necessary permissions for all locations where Vouch will perform services.
9. Cancellation Policy
Once filming has been scheduled, either directly or through booking platforms such as Calendly, the booking is considered confirmed. In the event that the Client cancels the scheduled filming for any reason, any fees already paid to Vouch are non-refundable. Vouch may, at its discretion, offer a credit towards a future booking, subject to availability and agreement.
10. Postponement/Rescheduling Policy
If the original filming date is postponed, Vouch will provide updated available dates. If the new date conflicts with another booking, the retainer fee for the original date will be forfeited. If Vouch is available on the new date, the retainer fee will apply towards the new total.
11. Payment Policy
Payment for any scheduled filming will be based on the advertised prices on our pricing page at the time of booking, unless a prior arrangement has been made in writing. Unless stated otherwise, payment is required upfront, before filming occurs. Failure to complete payment prior to the scheduled filming date may result in the cancellation of services or delays in project delivery.
If a special pricing arrangement or payment schedule is agreed upon, it will be reflected in the service document. Final video materials will only be delivered once full payment has been received.
12. Model Release
The Client is responsible for obtaining signed release forms from all participants (e.g., their clients) prior to the filming date, ensuring that each participant grants permission for their likeness, voice, and statements to be used in the video. The Client also grants Vouch permission to use these releases, allowing Vouch to publish photographs, images, and videos of the participants for video testimonial, self-promotion, educational, trade, editorial, and portfolio purposes. Vouch may also use the client’s company logos and branding in these materials. Any uses beyond these purposes will require written consent from the client.
13. Force Majeure
Vouch is not responsible for Acts of God, Natural Disasters, Acts of Government, or other incidents beyond our control. In such cases, we will arrange a qualified professional replacement to the best of our ability.
14. Parking, Mileage, and Miscellaneous Costs
Costs for parking, purchased items on behalf of the client, and mileage at $1.54 per km for extensive travel (beyond 30 km) will be billed directly to the client.
15. Contracted Vendor and Payments
Rentals and subcontracted vendors contracted on behalf of the client will be paid in full to Vouch by the requested deadline, with proper notice provided per cost.
16. Post-Production and Editing
The final post-production and editing styles are at the discretion of Vouch.
17. Delivery
Vouch is not required to deliver every image or video taken. The selection of photos or videos provided to the client is at the discretion of Vouch.
18. Appropriate Conduct/Safe Working Environment
The Client agrees to provide a safe and professional working environment for Vouch's staff. In case of threats or inappropriate behaviour, Vouch will notify the Client. If the situation is not resolved, Vouch may halt services, with the Client remaining responsible for full payment.
19. Vouch’s Hug-Back (High Five) Guarantee
At Vouch, we stand by the quality of our service and the final product. We call this our Hug-Back (High Five) Guarantee. While there’s no requirement to give us a literal hug or high-five, our goal is that you feel as though the relationship, the service quality, and the final product are of the highest standard.
If you’re not fully satisfied with the service or the final video, we will work diligently to fix any concerns you have. This may include options such as a reshoot, re-editing, or other tailored solutions to meet your needs. If, after going through this process, you’re still not satisfied, we will provide a refund of any invoice payments, hence our Hug-Back (High Five) Guarantee.
20. Governing Law
This agreement is governed by the laws of New Zealand.
